By accessing or using the Robostage AI platform, website, Robot Builder, Stage Simulator, or any related services (collectively, the "Service") provided by LoftZone AI LLC ("we," "our," or "us"), you agree to be bound by these Terms & Conditions ("Terms"). If you do not agree to these Terms, do not use the Service. These Terms apply to all visitors, users, and others who access or use the Service. We reserve the right to update these Terms at any time. Continued use of the Service after changes constitutes acceptance of the revised Terms.

Robostage AI is a cloud-based platform that enables users to design, simulate, and operate AI-driven robotic performers and animatronics for entertainment productions. The Service includes, but is not limited to:

—The Robot Builder: a guided tool for designing custom stage robots, selecting components, generating wiring diagrams, and exporting Bills of Materials. —The Stage Simulator: a physics-aware simulation environment for previewing robot choreography and testing collision boundaries. —The Generative Choreography Engine: an AI system that generates robot movement sequences from natural language direction. —The Parts Library: a curated catalog of stage-grade robotics components from verified suppliers. —The Marketplace: a platform for buying, selling, and licensing robot configurations and choreography sequences. —Community features including the Forum, Documentation, and Build Guides.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with or without notice.

To access certain features of the Service, you must create an account. You agree to:

—Provide accurate, current, and complete information during registration. —Maintain and promptly update your account information. —Keep your password secure and confidential. —Notify us immediately at [email protected] of any unauthorized use of your account. —Accept responsibility for all activities that occur under your account.

You may not create an account on behalf of another person without their authorization. We reserve the right to terminate accounts that violate these Terms or that have been inactive for an extended period.

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

—Use the Service in any way that violates applicable local, national, or international laws or regulations. —Design, build, or deploy robots for any purpose that could cause harm to persons, animals, or property. —Attempt to gain unauthorized access to any part of the Service, other user accounts, or connected systems. —Reverse engineer, decompile, or disassemble any part of the Service or its AI models. —Use automated scripts, bots, or scrapers to access or collect data from the Service without our express written permission. —Upload or transmit any malicious code, viruses, or harmful software. —Impersonate any person or entity or misrepresent your affiliation with any person or entity. —Use the Service to develop a competing product or service without our express written consent. —Circumvent any access controls, usage limits, or security features of the Service.

Our Intellectual Property: The Service, including its design, software, AI models, documentation, and all content created by LoftZone AI LLC, is owned by us and protected by copyright, trademark, patent, and other intellectual property laws. You may not copy, reproduce, distribute, or create derivative works from our intellectual property without our express written permission.

Your Content: You retain ownership of the robot configurations, choreography sequences, and other content you create using the Service ("User Content"). By using the Service, you grant us a non-exclusive, worldwide, royalty-free license to use, store, process, and display your User Content solely for the purpose of providing and improving the Service.

AI Training: You agree that we may use aggregated, anonymized data derived from your use of the Service — including robot configurations and simulation data — to train and improve our AI models. We will not use your identifiable personal data for AI training without your explicit consent.

Feedback: Any feedback, suggestions, or ideas you provide to us about the Service may be used by us without any obligation to compensate you.

Certain features of the Service require a paid subscription. By subscribing, you agree to:

—Pay all applicable fees as described on our Pricing page at the time of purchase. —Provide accurate and complete billing information. —Authorize us to charge your payment method on a recurring basis for subscription fees.

Billing Cycle: Subscriptions are billed monthly or annually depending on the plan you select. Fees are charged at the beginning of each billing period.

Cancellation: You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. We do not provide refunds for partial billing periods.

Price Changes: We reserve the right to change subscription prices with 30 days' notice. Continued use of the Service after a price change constitutes acceptance of the new pricing.

Taxes: You are responsible for all applicable taxes associated with your use of the Service.

Robostage AI is designed for use in professional entertainment environments. You acknowledge and agree that:

—You are solely responsible for ensuring that any robots you design, build, or operate using the Service comply with all applicable safety regulations, venue requirements, and local laws. —You will implement appropriate safety measures — including physical barriers, emergency stop systems, and trained operators — when deploying robots in any environment where people may be present. —Robostage AI's simulation and safety features are tools to assist you, not substitutes for professional engineering judgment and on-site safety protocols. —You will not deploy robots in any manner that poses an unreasonable risk of harm to persons or property. —LoftZone AI LLC is not liable for any injury, damage, or loss arising from the physical deployment or operation of robots designed using the Service.

The Service may integrate with or link to third-party services, including parts suppliers, hardware manufacturers, ROS repositories, and community resources. These third-party services are governed by their own terms and privacy policies. We do not endorse, control, or assume responsibility for any third-party services. Your use of third-party services is at your own risk. Parts and components listed in our Parts Library are sourced from third-party suppliers; we do not manufacture, stock, or guarantee the availability, quality, or pricing of any third-party products.

Disclaimer of Warranties: The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, or uninterrupted availability. We do not warrant that the Service will be error-free, that defects will be corrected, or that the Service or the servers that make it available are free of viruses or other harmful components.

Limitation of Liability: To the fullest extent permitted by applicable law, LoftZone AI LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, goodwill, or other intangible losses, resulting from your use of or inability to use the Service. In no event shall our total liability to you exceed the greater of (a) the amount you paid us in the 12 months preceding the claim, or (b) one hundred US dollars ($100).

You agree to indemnify, defend, and hold harmless LoftZone AI LLC and its officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with: (a) your use of the Service; (b) your User Content; (c) your violation of these Terms; (d) your violation of any third-party rights; or (e) the physical deployment or operation of any robots designed using the Service.

We reserve the right to suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Grounds for termination include, but are not limited to, violation of these Terms, fraudulent activity, or conduct that we determine to be harmful to the Service, other users, or third parties. Upon termination, your right to use the Service will immediately cease. Provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnification, and limitations of liability.

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any dispute arising from or relating to these Terms or the Service shall first be submitted to good-faith negotiation. If the dispute cannot be resolved through negotiation, it shall be submitted to binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in Delaware. You waive any right to participate in a class action lawsuit or class-wide arbitration.

Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and LoftZone AI LLC regarding the Service and supersede all prior agreements.

Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

Waiver: Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

Assignment: You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction.

Force Majeure: We shall not be liable for any failure or delay in performance resulting from causes beyond our reasonable control.
